Deals Contracts & Closing Mechanism Manager

About the role

PwC's Deals Contracts and Closing Mechanisms practice advises corporate, strategic and private equity clients on the financial and accounting aspects of sale and purchase agreements, the enterprise-to-equity value bridge and post-closing financial metrics. As a Deals Contracts & Closing Mechanism Manager, you will join a small specialist team and help buyers and sellers close mergers, acquisitions, divestitures and financing transactions faster and more profitably. The position follows the departure of a valued team member.

Key responsibilities

• Sale and Purchase Agreement Advisory: identify key risks found during diligence and work with clients and lawyers to build protections into the agreement, and advise on the financial definitions affecting the pricing mechanism.
• Post-Closing Assistance: help clients protect value through the purchase price mechanism, and advise during post-closing negotiations and disputes over cash, debt and net working capital.
• Support clients across many industries, with transaction sizes from $15 million to more than $1 billion, including major Canadian corporations, private equity and pension funds, and inbound acquirers.

Required profile

• Chartered Accountant designation (CPA) or local equivalent; for Quebec-based roles, French fluency is required, otherwise it is an asset.
• Experience in audit, accounting advisory, dispute advisory or deals.
• Proven technical and analytical skills, including financial and business performance analysis.
• Engagement team management and leadership skills.
• Flexibility, including travel throughout North America and internationally, up to 30% of time.
