Associate, Governance Advisory

About the role

As an Associate on Kingsdale Advisors’ Governance Advisory team in Toronto, you will support research and analysis on executive compensation and corporate governance for public companies across Canada and the United States. You will work closely with senior advisors to help clients navigate shareholder voting matters, proxy advisor expectations, and ESG trends.

Key responsibilities

• Prepare annual meeting reports that evaluate ISS, Glass Lewis, and institutional shareholder views on director elections, auditor appointments, Say‑on‑Pay, equity plans, by‑laws and other voting items.
• Analyze executive compensation structures, pay‑for‑performance alignment, equity plan design, board composition and governance practices.
• Support vulnerability analyses of management and dissident nominees in contested director elections.
• Identify governance, compensation and board‑related risks raised by activists, proxy advisors or institutional investors.
• Assess corporate social responsibility (CSR) reporting and environmental & social (E&S) trends as required.
• Maintain and enhance internal knowledge databases and client‑facing reports.
• Monitor public filings on SEDAR+ and EDGAR and stay current on market news related to governance and E&S.
• Prepare presentations and assist senior directors in client engagements.

Required profile

• Strong interest in corporate governance, shareholder activism and executive compensation.
• Excellent analytical and research abilities with attention to detail.
• Effective written and verbal communication skills.
• Ability to build relationships with clients and internal teams.

Required skills

• Proficiency in using SEDAR and EDGAR filing databases.
• Experience with governance and compensation research tools.
