Director, Intercompany Agreements & Contract Governance

About the role

Mastercard is seeking a Director to lead its Enterprise Intercompany & Service Governance (EISG) program. The role partners with Legal and functional stakeholders to govern the end‑to‑end lifecycle of intercompany agreements (ICAs), ensuring contractual alignment, regulatory compliance, and risk mitigation across the enterprise.

Key responsibilities

• Partner with Legal to support ICA drafting, negotiation, and ensure contracts follow the lifecycle operating model and enterprise standards.
• Provide guidance on ICA structure, required clauses, and documentation to reduce downstream execution risk.
• Identify and resolve systemic contractual issues such as misaligned scope statements, service descriptions, transfer‑pricing ambiguities, and regulatory provisions.
• Translate legal and contractual requirements into practical operating guidance for stakeholders.
• Own and evolve the ICA lifecycle operating model, ensuring consistent, timely, and regulator‑defensible outcomes.
• Lead cross‑functional workstreams (Legal, Finance, Tax, Risk, Technology, business teams) to clarify scope, interpret requirements, and strengthen contractual positioning.
• Oversee lifecycle execution to ensure decisions are implemented downstream and obligations are met, reducing execution risk and post‑signature rework.

Required profile

• Strong judgment and program‑management discipline.
• Proven ability to drive cross‑functional stakeholders to timely decisions.
• Experience leading complex, multi‑disciplinary workstreams.
• Deep understanding of contractual governance, outsourcing, operational resilience, and third‑party risk management.
