M&A Corporate & Securities Attorney (Remote, Contract)

About the role

We are seeking an experienced M&A Corporate & Securities Attorney to support the development of AI‑assisted legal tools. This remote, contract position involves reviewing transaction scenarios, providing expert legal feedback, and ensuring AI outputs align with industry standards.

Key responsibilities

• Review realistic M&A transaction scenarios and due‑diligence materials to inform AI tool development.
• Apply expert judgment to corporate, governance, and securities matters, identifying material issues and significant risks.
• Produce clear, structured written feedback to enhance AI reasoning and analytical abilities.
• Assess the accuracy and relevance of AI‑generated outputs against market and practice standards.
• Identify and explain cross‑document inconsistencies within corporate records, charters, board consents, and financing documents.
• Serve as a subject‑matter expert, offering nuanced guidance on M&A deal processes and risk assessment.

Required profile

• Strong experience in M&A, corporate, or venture/securities matters at a law firm, corporate development team, or investment fund.
• Demonstrated expertise working within virtual data rooms (e.g., Datasite, Intralinks, Ansarada) on live deals.
• Substantial familiarity with corporate governance documents and the ability to spot ambiguous or inconsistent provisions.
• JD and active bar membership (or equivalent legal qualification) in the relevant jurisdiction.
• Excellent written and verbal communication skills for articulating complex legal reasoning.
• Experience with AmLaw 100 firms, top‑tier venture/technology practices, or leading PE/corp‑dev teams is highly valued.
