Legal Counsel – Governance & Securities

About the role

The Legal Counsel, Governance & Securities provides cross‑functional legal support to ensure CN complies with securities law, disclosure obligations and corporate governance standards. You will work closely with the Corporate Secretary’s Office, board committees and multiple business units to safeguard the company’s legal and regulatory posture.

Key responsibilities

• Assist the Deputy Corporate Secretary and Corporate Secretary with board and committee meeting preparation, including agendas, materials, resolutions and logistics.
• Draft, review and advise on public disclosure documents such as annual and quarterly reports, MD&A, management circulars, press releases and other regulatory filings.
• Provide guidance on materiality assessments, disclosure controls and securities‑related matters across finance, treasury, investor relations and human resources.
• Support negotiation of cross‑border financial transactions, public debt offerings, share repurchase programmes, commercial paper, credit facilities, securitisation and pension or incentive plans.
• Monitor governance trends, best practices and regulatory developments, and advise the business on emerging risks and opportunities.
• Collaborate with internal teams on cross‑functional projects and manage external counsel and vendors as required.

Required profile

• Minimum two years of experience in corporate and securities law, preferably from a top‑tier law firm or an in‑house legal department.
• Demonstrated ability to work under tight deadlines, handle pressure and prioritize multiple time‑sensitive projects.
• Strong analytical and written communication skills with a focus on accuracy and compliance.
