Legal Counsel – Corporate Law

About the role

The Legal Counsel, Corporate provides expert legal advice and services across George Brown Polytechnic. Reporting to the General Legal Counsel, the role supports a wide range of corporate, commercial, governance, finance, procurement, licensing and regulatory matters in a fast‑paced, public‑interest environment.

Key responsibilities

• Draft, review and negotiate commercial agreements, vendor contracts, partnership and licensing agreements.
• Act as the primary resource for contract management and risk assessment.
• Identify legal risks, develop mitigation strategies and advise senior management on contract risk, student placement, work‑integrated learning, IT, intellectual property and copyright matters.
• Prepare policies, guidelines and templates for corporate transactions.
• Collaborate with the General Legal Counsel to assess financial and public‑relations risks on complex issues.
• Provide timely, professional legal advice to internal clients and maintain relationships with external counsel.
• Stay current with relevant legislation, regulations, Minister’s Binding Directives and sector statutes.
• Perform other duties as assigned.

Required profile

• Demonstrated experience delivering legal advice to senior management and project owners in corporate and commercial contexts.
• Strong understanding of contract risk management, procurement, licensing and regulatory compliance.
• Ability to communicate legal risks clearly and develop practical mitigation strategies.
• Experience working in a higher‑education or public‑sector environment is advantageous.
