Legal Counsel – Contracts & Corporate

About the role

Brim Financial is a fast‑growing fintech that provides the operating system for credit cards and payments across North America. The Legal Counsel, Contracts & Corporate will act as a trusted advisor to business and leadership teams, handling commercial, corporate and regulatory matters while supporting the company’s growth and compliance objectives.

Key responsibilities

• Draft, review, negotiate and execute complex commercial agreements such as MSAs, partnership, client, technology, vendor and professional services contracts.
• Provide practical, business‑focused legal advice to senior leaders on contractual obligations, risk allocation, regulatory compliance and strategic initiatives.
• Identify legal and commercial risks, develop solutions and negotiate terms that balance risk with business goals.
• Support RFP, RFI and procurement processes by reviewing terms, advising on obligations and assisting with negotiations.
• Advise on payments, financial services, consumer protection, privacy, intellectual property, technology licensing, outsourcing and regulatory compliance issues.
• Maintain corporate governance records, prepare board and committee materials, draft resolutions and support regulatory filings.
• Develop and maintain contract templates, negotiation playbooks, legal policies and internal guidance.
• Monitor legal and regulatory developments affecting payments, banking, fintech and financial services and provide timely guidance.
• Manage external counsel for specialized matters while ensuring cost‑effective support.
• Contribute to legal process improvements, governance frameworks and operational initiatives that support growth.

Required profile

• Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) from an accredited law school.
• Member in good standing with a Canadian provincial or territorial law society.
• 5–8+ years of progressively responsible experience practicing corporate and commercial law, with significant in‑house or leading‑law‑firm experience supporting commercial transactions.
• Demonstrated expertise drafting and negotiating complex agreements.
