Legal Counsel – Commercial & Corporate Law

About the role

Join PointClickCare, a leading health‑tech company, as a Legal Counsel reporting to the VP, Contracts & Legal. You will handle a broad range of commercial agreements and support corporate legal matters in a fast‑paced environment.

Key responsibilities

• Draft and negotiate services, product, and technology agreements, including master services agreements, partnership agreements, confidentiality agreements, business associate agreements, SaaS agreements, data protection agreements, software licences, subcontractor and supplier agreements, and related statements of work.
• Support corporate legal matters such as subsidiary governance, intercompany arrangements, and strategic transactions, including acquisitions and complex commercial partnerships.

Required profile

• JD and active membership in a relevant law society or U.S. state bar.
• 5+ years of commercial legal practice with exposure to corporate legal matters.
• Proven ability to independently negotiate complex business transactions under tight deadlines.
• Strong analytical, written and verbal communication skills with a client‑service orientation.
• Self‑starter who works independently yet collaborates effectively, with interest in legal technology and AI.

Required skills

• Experience with SaaS licensing and health‑care information technology contracts.
• Knowledge of Canadian and U.S. privacy and health‑care regulatory compliance (HIPAA, PHIPA).
