Legal Counsel – Commercial Contracts Specialist

About the role
Reporting to the General Counsel, the Legal Counsel will provide practical, business‑focused legal support to Armstrong Fluid Technology’s Canadian headquarters and global operations. The role centres on commercial contracts while also covering corporate, compliance, employment, IP and dispute matters.
Key responsibilities
- Draft, review and negotiate a wide range of commercial agreements, including sales, distribution, supply, manufacturing, licensing and framework contracts, and maintain template agreements and contract playbooks.
- Support intellectual property protection in commercial agreements, manage confidentiality and data‑protection obligations, and coordinate IP enforcement.
- Assist corporate governance for Canadian and international subsidiaries, support M&A and joint‑venture transactions, and manage external counsel in litigation, arbitration or regulatory matters.
- Develop and deliver legal training, advise business units on compliance (antitrust, anti‑bribery, trade controls, privacy) and provide day‑to‑day employment law support in Canada.
Required profile
- J.D. or B. degree from a recognised law school, called to the Bar in a Canadian province (preferably Ontario) and 5–8 years post‑call experience with a focus on commercial contracts.
- Experience in both law‑firm and in‑house environments, preferably within manufacturing or industrial settings, and ability to handle cross‑border agreements and regulatory matters.

- Strong written and verbal communication, capable of explaining legal concepts in plain language.
- Negotiation, judgment, ownership and organizational skills in a fast‑paced environment.
