Corporate Secretary – Senior Governance Officer

About the role
The Corporate Secretary is the senior governance officer for EQ Bank, reporting to the General Counsel and advising the Board of Directors, Board Chair, Committee Chairs and senior executives. The role safeguards the bank’s governance framework, ensures compliance with corporate, securities and regulatory obligations, and supports effective Board decision‑making.
Key responsibilities
- Act as principal governance advisor to the Board, Committee Chairs and senior leadership on fiduciary duties, conflicts of interest and Board processes.
- Lead the annual Board and Committee calendar, prepare and distribute meeting materials, and serve as Corporate Secretary at Board, Committee and shareholder meetings.
- Oversee accurate minute‑taking, resolutions, and communication of Board decisions, ensuring confidentiality and legal privilege.
- Maintain and continuously improve the enterprise governance framework, policies, delegated authorities and compliance with regulatory developments.
- Manage public‑company reporting, including SEDAR+ and SEDI filings, annual information forms, proxy materials and shareholder meeting logistics.
- Supervise subsidiary governance, corporate records, share capital documentation and relationships with regulators, stock exchanges and external advisors.
- Lead the Board Services function, set priorities, drive cross‑functional governance initiatives and modernise processes and technology.
- Coach and mentor team members, manage the function’s budget and external providers.
Required profile
- Undergraduate degree in law, business or governance; JD, LLB or equivalent professional qualification strongly preferred.
- 15+ years of progressive corporate governance, secretarial or securities experience, including support of a Canadian public‑company Board.
- Significant experience within a federally regulated financial institution or similarly complex, highly regulated organization.
- Deep knowledge of the Bank Act, Trust and Loan Companies Act, Canadian securities regulations, TSX and OSFI governance expectations.
- Proven track record leading annual meetings, proxy processes, SEDAR+ / SEDI filings and subsidiary governance.
Required skills
- Expertise in corporate governance best practices and regulatory compliance.
- Strong board‑room judgment, executive presence and ability to provide independent advice.
- Excellent drafting, communication and analytical skills.
