Corporate Law Clerk – Flexible Independent Contractor

About the role

Caravel Law is seeking an experienced Corporate Law Clerk to support its lawyers in delivering corporate legal services across Ontario and other provinces. This independent‑contractor position offers the freedom to set your own schedule while working on a variety of corporate transactions.

Key responsibilities

• Assist lawyers with drafting transaction documents, financings, mergers and acquisitions.
• Perform corporate clerk duties such as incorporations, minute‑book maintenance, resolution preparation, searches, registrations and public company filings.
• Provide support for corporate records management and contract administration.
• Occasionally take on fractional in‑house corporate law clerk assignments.

Required profile

• Minimum 7 years of relevant corporate law clerk or paralegal experience.
• Law Clerk Diploma or Institute of Law Clerks of Ontario Certificate (or equivalent) for Ontario candidates; Paralegal Diploma (or equivalent) for Alberta/BC candidates.
• Proven experience managing corporate records, minute books, and drafting resolutions.
• Entrepreneurial, proactive and able to work independently with sound judgment.

Required skills

• Proficiency with MS Office.
• Experience using corporate law and entity‑management software.
