Corporate Counsel

About the role

HomeTeam Live is seeking a commercially‑minded Corporate Counsel to join its distributed legal team. This hands‑on, in‑house position will manage the full lifecycle of commercial contracts and provide day‑to‑day legal guidance across technology, privacy and intellectual property matters for both Canada and the United States.

Key responsibilities

• Draft, review and negotiate sales, SaaS, master service, NDA and vendor agreements.
• Maintain and improve standard contract templates and oversee contract execution and renewal.
• Provide legal advice on technology transactions, software licensing, data‑sharing and cloud services under Canadian and U.S. law.
• Ensure compliance with privacy legislation such as PIPEDA, Quebec’s Law 25, CCPA/CPRA and monitor emerging tech‑law developments.
• Advise on IP ownership, licensing and protection; coordinate with external IP counsel.
• Manage external counsel engagements, prepare briefing materials and approve invoices.
• Support corporate governance, board materials, regulatory filings and occasional corporate transactions.

Required profile

• LL.B. or J.D. from an accredited Canadian or U.S. law school.
• Called to the bar in any Canadian province.
• 2–5 years of post‑call experience in commercial, technology or privacy law.
• Ability to work independently and communicate clearly with non‑legal stakeholders.
