Associate / Senior Associate – Mergers & Acquisitions

About the role

Emergence Software Technologies is a private‑equity firm focused on operationally critical software businesses. The Associate / Senior Associate will own M&A workstreams end‑to‑end and be responsible for deal outcomes from qualification through post‑close value creation.

Key responsibilities

• Qualify inbound and intermediary‑led opportunities against Emergence’s investment thesis.
• Own the financial model end‑to‑end, including LBO structuring, operating projections and scenario analysis.
• Lead commercial, financial and operational diligence workstreams and coordinate third‑party advisors.
• Develop investment theses on market sizing, competitive positioning and product stickiness.
• Prepare and present IC materials such as investment memos, deal summaries and risk‑return analyses.
• Manage deal execution from LOI through close, negotiate key terms and coordinate legal and third‑party workstreams.
• Support portfolio companies post‑close on performance monitoring, value‑creation initiatives and add‑on acquisitions.

Required profile

• 2 to 5 years of experience in investment banking, private equity or growth equity with software/technology coverage.
• Strong LBO modeling and financial analysis skills, comfortable with earn‑outs, DDTLs and seller notes.
• Proven ability to manage multiple concurrent processes under time pressure.
• Strong written and verbal communication, able to draft IC memos and present to senior stakeholders.
• Bachelor’s degree in finance, economics or a related analytical discipline.
