Corporate Lawyer

About the role

Messagepoint is looking for an experienced Corporate Lawyer to lead the review, negotiation and structuring of commercial agreements in a fast‑growing SaaS environment. The role works closely with Sales, Operations and senior leadership to ensure deals are executed efficiently while protecting the company’s legal and commercial interests.

Key responsibilities

• Draft, review and negotiate Master Services Agreements, SaaS licensing, customer sales, reseller, partner and professional services contracts.
• Define and own the company’s legal position on contract terms, balancing risk with commercial priorities.
• Provide strategic legal guidance to Sales, Deal Desk and other business stakeholders.
• Identify, assess and mitigate legal and regulatory risks, including data‑privacy obligations (PII, PHI).
• Lead negotiations with customers across Canada and the United States and coordinate with external counsel for jurisdiction‑specific matters.
• Contribute to the creation of contract templates, playbooks and negotiation strategies.
• Ensure compliance with applicable laws, regulations and internal policies.

Required profile

• Law degree (LL.B. or J.D.) and active membership in a relevant bar.
• Strong experience reviewing and negotiating commercial contracts in a SaaS or technology company.
• Deep understanding of contract law, risk allocation and negotiation strategy.
• Proven ability to make sound legal decisions and advise on company positions.
• Experience with multi‑jurisdictional customers, especially Canada and the U.S.; European experience is a plus.
• Exceptional attention to detail, judgment and problem‑solving skills.
