Senior Legal Counsel – Corporate Governance

About the role

Join TD’s dynamic Legal Department in Toronto as a Senior Legal Counsel focused on corporate and subsidiary governance. You will work closely with business leaders, control functions, and external counsel to support strategic priorities while safeguarding the bank’s risk profile.

Key responsibilities

• Act as primary liaison for one or more Board Committees, preparing agendas, materials, and minutes.
• Perform corporate secretarial duties, including attending Board Committee meetings and advising on governance matters.
• Serve as corporate secretary for TD’s Canadian subsidiaries and provide legal advice on governance requirements and best practices.
• Collaborate with the Vice President of Corporate Governance, department attorneys, and external counsel on complex legal issues.
• Support the development and implementation of sound corporate governance policies that align with TD’s strategic and operational goals.

Required profile

• Law degree and admission to the bar in Canada.
• Significant experience in corporate governance, board affairs, and corporate secretarial functions.
• Strong analytical and communication skills with the ability to influence senior stakeholders.
• Demonstrated ability to work collaboratively in a fast‑paced, highly regulated environment.
