Governance Legal Advisor

About the role

The Governance Legal Advisor joins the Legal Affairs team at National Bank to provide specialist expertise in corporate governance and corporate law. You will influence the organization by delivering strategic legal advice, structuring complex projects, and ensuring robust governance across subsidiaries.

Key responsibilities

• Provide governance and corporate secretariat support for subsidiaries, including minute‑book maintenance and coordination of board and committee meetings.
• Define and implement governance frameworks tailored to each subsidiary’s structure.
• Oversee the entity management system and lead transactional or internal reorganisation projects.
• Coordinate legal matters related to subsidiaries, investments, and international activities.
• Offer strategic legal advice to support business decisions and operational needs.
• Monitor legislative and regulatory developments in governance and recommend necessary adjustments.

Required profile

• Bachelor’s degree in Law.
• 3–5 years of experience in corporate law and governance.
• Member in good standing of the Quebec Bar, Ontario Bar, New York State Bar, or the Chambre des notaires du Québec.
• Experience in subsidiary governance and corporate secretariat management.
• Knowledge of regulatory frameworks applicable to corporate law and governance.
• Proven ability to draft and review corporate and legal documentation.
