Corporate Commercial Associate – Montreal

About the role

KPMG Law LLP is looking for a Corporate Commercial Associate to join its Montreal office. The successful candidate will work on a variety of corporate transactions for private companies, providing legal advice, drafting agreements, and supporting clients throughout complex deals.

Key responsibilities

• Participate in mergers and acquisitions, private investments, financing, restructurings and other strategic operations.
• Take ownership of specific mandates or portions of transactional files, coordinating with clients and stakeholders.
• Draft, analyze and negotiate complex agreements in both French and English.
• Collaborate with accountants and other professionals to ensure efficient file progression.
• Advise on company formation, governance, compliance and corporate law matters.
• Prepare, review and negotiate commercial contracts such as shareholders’ agreements, purchase agreements and partnership agreements.
• Conduct due‑diligence and research, drafting memoranda and legal opinions on corporate and business law issues.

Required profile

• Minimum three years of experience in corporate transactions, commercial law or restructurings at a leading law firm.
• J.D. or L.L.B. from an accredited law school and active membership in good standing with the Barreau du Québec.
• Collaborative, team‑oriented approach with strong client‑service orientation.
• High ethical standards, integrity and the ability to contribute positively to team culture.
• Strong analytical, problem‑solving abilities and attention to detail in a fast‑paced environment.

Required skills
