About the role

Join TD's Wealth and Asset Management Legal Team in Toronto as a Principal Legal Counsel. You will work on a broad range of asset‑management matters, supporting the institutional business of TD Asset Management (TDAM) while helping the firm meet its strategic and risk‑management objectives.

Key responsibilities

• Advise on the launch and distribution of pooled and private‑market funds.
• Provide legal support to TDAM’s real‑estate, infrastructure and private‑credit investment teams.
• Draft, review and negotiate investment‑management agreements, subscription agreements and other commercial contracts.
• Prepare offering circulars for initial and ongoing fund distribution.
• Offer legal and regulatory advice on investment funds, portfolio management and fund‑management services.
• Contribute to strategic initiatives, including global distribution projects.
• Collaborate with internal stakeholders and manage external counsel to achieve business goals.
• Advise on corporate‑governance matters.

Required profile

• Significant experience in asset‑management legal matters, particularly within an institutional context.
• Strong understanding of investment‑fund structures, regulatory frameworks and commercial agreements.
• Ability to work collaboratively with internal teams and external law firms.
