Commercial Counsel

About the role

Kabam is seeking a Commercial Counsel to join its Downtown Vancouver studio. Reporting to the Senior Commercial Counsel, you will provide proactive legal guidance across a wide range of commercial transactions and support the company’s strategic objectives in the interactive entertainment industry.

Key responsibilities

• Review, draft and negotiate commercial agreements, including technology, cloud, professional, marketing and advertising services.
• Develop and implement corporate governance best practices, manage board communications and maintain corporate records.
• Provide training to internal partners on contract lifecycle management.
• Develop and manage policies to ensure compliance with federal, provincial and local regulations.
• Monitor regulatory changes, respond to inquiries and support investigations.
• Advise business partners on legal risks, mitigation strategies and cross‑functional initiatives such as SOX readiness.
• Oversee intellectual property protection and management.
• Handle merger and acquisition matters, corporate governance documentation, and real‑estate lease issues.
• Approve wire transfers and cheque payments as part of financial reporting controls.

Required profile

• Law degree with admission to practice in Canada.
• Experience drafting and negotiating a variety of commercial contracts.
• Strong knowledge of corporate governance, regulatory compliance and intellectual property law.
• Familiarity with financial controls, SOX compliance and M&A processes.
• Excellent analytical and communication skills, with the ability to work collaboratively across business units.
