Corporate Paralegal – Remote (Canada)

About the role
Partner One is seeking a detail‑oriented Corporate Paralegal to support its global legal operations. This fully remote position is based in Canada and will work across U.S. and international subsidiaries, handling corporate governance, entity maintenance, and compliance matters.
Key responsibilities
- Draft and prepare corporate legal documents such as board and shareholder resolutions, minutes, powers of attorney, officer certificates, and authorizations.
- Maintain minute books, corporate records, statutory registers, and organizational charts for U.S. and foreign entities.
- Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions.
- Liaise with corporate agents, law firms, and government registries to ensure timely and compliant filings.
- Manage execution, notarization, apostille, and legalization of documents where required.
- Support corporate compliance efforts, audits, due diligence, financing, and M&A‑related activities.
- Coordinate signatures, facilitate document circulation, and manage approval workflows.
- Assist Legal Counsel with legal research, document organization, and preparation of internal reports or summaries.
Required profile
- Diploma/Certificate in Paralegal Studies or equivalent professional experience.
- Paralegal License (P1) – Ontario candidates only.
- Minimum 2 years of experience in corporate law, legal operations, or in‑house legal support.
- Strong knowledge of corporate governance, entity maintenance, and multi‑state filings.
- Excellent drafting, organization, and meticulous attention to detail.
- Proficiency in Microsoft Office and legal/document management tools.
