Senior Legal Counsel

About the role

Orion Health is seeking an experienced, commercially‑focused Senior Legal Counsel to join its global legal team. Reporting to the General Counsel in New Zealand, you will provide legal support to Orion Health and other businesses within the HEALWELL AI group, helping to drive digital innovation in healthcare.

Key responsibilities

• Deliver commercial‑oriented legal advice across Orion Health and HEALWELL AI entities.
• Draft, negotiate and advise on complex technology, SaaS, software licensing, services and commercial agreements with customers, suppliers and partners.
• Lead negotiations on bespoke commercial arrangements and major customer transactions.
• Support strategic initiatives, new business opportunities and cross‑functional projects.
• Provide counsel on corporate, employment, property and dispute matters as they arise.
• Assist with RFP responses, contract strategy and complex customer engagements.
• Ensure compliance with corporate governance obligations in Canada and other jurisdictions.
• Manage external legal advisors and stand in for the General Counsel when needed.
• Contribute to improving legal processes, templates and knowledge resources.

Required profile

• Approximately 10+ years of post‑qualification experience, ideally a mix of private practice and in‑house roles.
• Strong background in technology law with a focus on commercial contracts.
• Demonstrated ability to balance commercial objectives with legal risk.
• Excellent communication skills and a proactive business‑partner mindset.

Required skills

• Extensive experience drafting and negotiating complex commercial and technology agreements.
• Deep knowledge of Canadian commercial and contract law.
