Senior Legal Counsel

About the role

Valnet is looking for a Senior Legal Counsel to join its fast‑growing Legal Department in Montreal. Reporting to the General Counsel and VP, Legal Affairs, you will provide comprehensive legal support across M&A, corporate affairs, commercial contracts, intellectual property, litigation, employment, data privacy and compliance.

Key responsibilities

• Support M&A transactions, including NDAs, LOIs, due diligence, drafting closing documents and post‑acquisition integration.
• Draft, review and negotiate commercial agreements such as services, licensing, sales and advertising contracts.
• Advise business units on complex legal, regulatory and contractual issues.
• Develop and implement AI‑driven tools to improve the Legal Department’s efficiency and response time.
• Prepare and review employment and freelance contracts and provide related counsel.
• Create and maintain contract templates and manage the company’s contract management platform.
• Handle copyright matters for websites and video channels, including coordination with external counsel.
• Assist with trademark portfolio management and support new trademark registrations.
• Draft and update website terms of use and privacy policies.

Required profile

• BCL, LLB or JD degree and member of the Quebec Bar in good standing.
• 5‑8 years of experience in a reputable law firm or in‑house legal department, with exposure to M&A, commercial contracts, IP and litigation.
• Fluent in English and French, both written and spoken.
• Strong interpersonal skills, business‑savvy mindset and ability to work independently in a fast‑paced environment.

Required skills

• Excellent drafting and negotiation abilities.
• Proficiency with contract management platforms and familiarity with AI‑enabled legal tools.
