Legal Counsel – Corporate & Commercial Law

About the role

BPA is seeking a proactive Legal Counsel to provide practical legal advice across its Canadian operations. The role focuses on common‑law matters and supports business units with corporate, commercial, contractual, litigation, and governance issues.

Key responsibilities

• Deliver legal support on corporate, commercial, litigation, M&A, and common‑law research matters.
• Prepare governance and transactional documents in English, including board resolutions, notices, agendas, and shareholder materials.
• Assist with continuous disclosure documents and develop presentations for the Board and shareholders.
• Manage litigation and insurance matters, coordinating with insurers, external counsel, and overseeing policy renewals.
• Provide practical guidance to business units, review internal policies, and support lease and employee rental management.

Required profile

• LL.B. or J.D. in common law.
• Member in good standing of a provincial law society in a Canadian common‑law jurisdiction.
• At least two years of post‑call experience, either in‑house or at a law firm.
• Strong knowledge of corporate, commercial, and contract law; familiarity with litigation management, insurance, M&A, and corporate governance is an asset.
• Excellent communication skills in English (French is an asset).
• Ability to work independently, manage competing priorities, and thrive in a fast‑paced environment.
