Director of Legal M&A

About the role

Banyan Software is expanding its legal team to support a high‑volume mergers and acquisitions practice across its global portfolio of vertical‑market software companies. Based in Toronto, the Director, Legal – Mergers & Acquisitions will own deal execution throughout the acquisition lifecycle and later transition into a portfolio‑level legal leadership role.

Key responsibilities

• Lead legal due diligence on acquisitions, identifying and escalating corporate, IP, employment and regulatory risks.
• Draft, review and negotiate purchase agreements, disclosure schedules and ancillary deal documents from LOI through closing.
• Manage external counsel relationships and coordinate specialist advice as needed.
• Partner with M&A Directors and Operating Partners to ensure timely, risk‑aware transaction closures.
• Provide day‑to‑day legal support to portfolio companies on commercial contracts, NDAs, vendor agreements and corporate matters.
• Cover portfolio legal responsibilities during team transitions to maintain continuity.
• Advise portfolio leadership on operational legal questions, acting as a trusted business partner.
• Transition into the dedicated legal lead for an operating portfolio, building and owning the legal playbook for that group.

Required profile

• Extensive experience in corporate M&A, including due diligence and purchase agreement negotiation.
• Proven ability to manage complex transactions across multiple jurisdictions.
• Strong partnership skills with senior business leaders and external counsel.
• Demonstrated track record of providing strategic legal advice to operating companies.
