Corporate Counsel – Mergers & Acquisitions

About the role

Environmental 360 Solutions Ltd. is seeking a motivated corporate lawyer with 2–3 years of transaction experience to join its in‑house legal team. The role focuses on M&A, corporate transactions, and strategic growth initiatives across Canada and the United States, working directly with senior executives and business leaders.

Key responsibilities

• Lead acquisitions from letter of intent through signing, closing, and post‑closing activities.
• Develop and negotiate asset and share purchase agreements and related ancillary documents.
• Conduct comprehensive legal due diligence covering corporate, commercial, employment, litigation, regulatory, environmental, IP, real estate, privacy and other risk areas.
• Identify transaction risks, provide practical recommendations and mitigation strategies.
• Manage in‑house acquisition processes while coordinating external counsel when specialized advice is required.
• Support post‑closing matters such as contract assignments, permit transfers, employee issues, escrow and working‑capital settlements.
• Contribute to standardizing acquisition processes, due‑diligence procedures, precedent documents and transaction playbooks.
• Handle multiple concurrent transactions in a fast‑paced, acquisition‑driven environment.

Required profile

• J.D. or LL.B. from an accredited law school.
• Member in good standing of the Law Society of Ontario.
• Approximately 2–3 years of post‑call experience in transaction advisory at a reputable law firm.
• Experience in M&A, corporate, securities, private equity or commercial transactions.
• Ability to thrive in a high‑volume acquisition environment, manage competing priorities and maintain professionalism under pressure.
