Legal Counsel

About the role

Ethereal Music Group Ltd. is seeking a commercially driven Legal Counsel to lead legal matters across its music‑focused business. The role focuses on record label and music rights transactions while supporting broader corporate, commercial, and strategic initiatives such as M&A and catalog deals.

Key responsibilities

• Draft, review and negotiate artist recording, producer, songwriter, distribution and publishing agreements.
• Advise on master and composition ownership structures and negotiate advances.
• Support A&R and finance teams in evaluating deal economics and risk.
• Oversee rights clearance for samples, splits and contributor agreements.
• Lead legal aspects of music catalog acquisitions, joint ventures, internal restructurings and other strategic transactions.
• Prepare LOIs, term sheets, definitive agreements and manage due‑diligence and closing processes.
• Draft and negotiate SaaS, technology, vendor, services, NDAs, employment and insurance contracts.
• Identify and communicate legal and commercial risk, develop internal playbooks and manage external counsel.
• Partner with A&R, finance, operations and executives to align deal strategy with business goals.

Required profile

• JD or equivalent; member in good standing with a Canadian law society.
• 4–8+ years of experience in entertainment, media or IP‑heavy industries.
• Proven track record drafting and negotiating complex agreements.
• Strong understanding of financial terms in contracts.
• Ability to work independently in a fast‑paced environment.
